The agreement
These Terms of Service ("Terms") govern your access to and use of the Akauntants service ("Service"), operated by Akauntants ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Where you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Eligibility
The Service is intended for use by businesses registered or operating in the Philippines, or by accountants and bookkeepers serving such businesses. You must be at least 18 years old and have the legal capacity to enter into contracts under Philippine law to use the Service.
Your account
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at security@akauntants.cloud if you suspect unauthorized access.
You may invite team members to your organization. You are responsible for ensuring that team members comply with these Terms and with applicable laws, including RA 10173 (Data Privacy Act).
The service
Akauntants provides cloud-based accounting, bookkeeping, payroll, and BIR compliance tools for Philippine SMEs. The Service includes AI-powered data extraction, BIR form generation, invoicing, financial reporting, and related features as described at akauntants.cloud/features.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where possible. We will not be liable for any such changes.
AI features disclaimer
Akauntants uses artificial intelligence and machine learning to assist with data extraction from receipts and invoices, auto-categorization of transactions, and generation of BIR-compliant form drafts. These features are provided as tools to assist you, not as professional accounting, tax, or legal advice.
AI outputs may contain errors. You must review all AI-generated data, BIR form drafts, and financial records for accuracy before filing or relying on them. Akauntants is not a licensed accounting firm, tax agent, or legal adviser. Nothing in the Service constitutes professional advice.
You are solely responsible for the accuracy and completeness of your BIR filings and compliance with BIR regulations. We recommend consulting a licensed CPA or tax adviser for complex situations.
Payments & billing
Paid plans are billed monthly or annually as selected at signup. All prices are in Philippine Peso (PHP) and inclusive of VAT unless stated otherwise.
Payments are processed by HitPay, a licensed payment service provider in Singapore. By subscribing to a paid plan, you agree to HitPay's terms of service. Akauntants does not store your card details.
Subscriptions renew automatically unless cancelled before the renewal date. Cancellations take effect at the end of the current billing period — you retain access until then. No refunds are provided for partial billing periods, except as required by Philippine consumer protection law.
We reserve the right to change pricing with 30 days' notice. If you do not agree to a price change, you may cancel before the new pricing takes effect.
Your data
You retain ownership of all data you input into the Service. We claim no intellectual property rights over your business data, financial records, or documents.
You grant Akauntants a limited, non-exclusive license to store, process, and transmit your data as necessary to provide and improve the Service.
On account termination or cancellation, you may export your data in a machine-readable format for 90 days. After that period, we will delete or anonymize your data, except where law requires longer retention (see our Privacy Policy).
Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.
Intellectual property
The Akauntants name, logo, software, designs, and all content we create are our intellectual property, protected under Philippine and international IP law. You may not copy, modify, distribute, or create derivative works from our software or content without our written permission.
You grant us the right to use your name and logo for the limited purpose of identifying you as a customer (e.g., on a "used by" list). You may opt out by emailing legal@akauntants.cloud.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
WE DO NOT WARRANT THE ACCURACY OF ANY BIR-RELATED OUTPUTS, AI-GENERATED CONTENT, OR FINANCIAL CALCULATIONS. YOU ASSUME ALL RISK FOR YOUR RELIANCE ON SUCH OUTPUTS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Termination
You may terminate your account at any time from your account settings or by emailing support@akauntants.cloud.
We may suspend or terminate your account immediately, without notice, if you violate these Terms or our Acceptable Use Policy, engage in fraudulent activity, or if we are required to do so by law.
Upon termination, your right to use the Service ends. Sections that by nature should survive termination (including disclaimers, limitation of liability, and governing law) will survive.
Disputes & governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for 30 days. If negotiation fails, disputes involving claims of ₱500,000 or less shall be resolved by binding arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI). For claims exceeding ₱500,000, the parties consent to the exclusive jurisdiction of the appropriate courts of Makati City, Metro Manila, Philippines.
You waive any objection to the venue or jurisdiction of such courts or arbitration proceedings on grounds of inconvenient forum.
Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.
